1. Agreement to terms

These Terms of Service ("Terms") govern your access to and use of the Hierly platform provided by [Your Legal Entity Name] ("we", "us"). By creating an account or using the Service you agree to these Terms. If you accept on behalf of an organisation, you represent that you are authorised to bind it, and "you" refers to that organisation.

2. The Service

The Service is a multi-tenant customer-relationship platform for recording and managing prospects across a team hierarchy. We may add, modify, or discontinue features, and we may set reasonable limits on use. We will use commercially reasonable efforts to provide the Service but offer it on an 'as is' and 'as available' basis.

3. Accounts & eligibility

An organisation's owner creates the workspace; additional users are created by managers. You are responsible for the accuracy of account information, for all activity under your users' accounts, and for keeping login credentials confidential. Notify us promptly of any unauthorised use. The Service is for business use by individuals aged 18 and above.

4. Plans, trials, fees & taxes

New organisations may receive a free trial. After the trial, continued use requires an active paid plan as described in-app. Fees, the billing cycle, and applicable taxes (including GST where applicable) are presented at the time of purchase. Payments may be collected manually or through a third-party payment processor; you authorise us (or the processor) to charge the applicable fees. We may change pricing prospectively on notice. We may suspend access for non-payment. Refunds and cancellations are governed by our Refund & Cancellation Policy.

5. Your content & data

As between you and us, your content (employees, prospects, custom fields, photographs) remains yours. You grant us a limited, worldwide, non-exclusive licence to host, process, and display that content solely to provide and support the Service.

You are the Data Fiduciary for prospect data you collect and must comply with applicable law, including the DPDP Act, and must have a lawful basis for collection. Our processing of personal data is described in the Privacy Policy.

6. Acceptable use

You agree not to: violate any law or third-party right; upload unlawful, infringing, harmful, or misleading content; collect personal data without a lawful basis; attempt to access another tenant's data or any non-public part of the Service; probe, scan, or test the vulnerability of the Service without authorisation; interfere with or disrupt the Service; introduce malware; scrape or harvest data; or resell or sublicense the Service without our written permission.

7. Intellectual property

The Service, including its software, design, and trademarks, is owned by us or our licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service per these Terms. We retain all rights not expressly granted. Feedback you provide may be used by us without obligation to you.

8. Service availability & support

We aim for high availability but do not guarantee uninterrupted or error-free operation unless a separate service-level agreement is signed. We may perform maintenance and may modify or suspend the Service to protect it. Support is provided via [channel / email].

9. Suspension & termination

We may suspend or terminate your access for breach of these Terms, non-payment, suspected fraud or abuse, or where required by law. You may stop using the Service and delete your organisation at any time from Settings. 10. Disclaimers

To the maximum extent permitted by law, the Service is provided 'as is' and 'as available' without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or be uninterrupted, timely, secure, or error-free.

11. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our aggregate liability arising out of or relating to the Service will not exceed the fees you paid to us in the three (3) months preceding the event giving rise to the claim. 12. Indemnity
